1. Who can use the service
The service is for businesses and other organizations. To use it, you must be at least 18 and able to form a binding contract.
If you use the service for an organization, you accept these terms on its behalf and confirm that you have the authority to do so, and “you” then includes that organization. If your organization has a signed agreement with Cadex that conflicts with these terms, the signed agreement governs.
2. The waitlist
Joining the waitlist lets Cadex contact you about early access to the service. It doesn’t reserve a place or guarantee access, and Cadex decides who gets access and when.
3. Accounts
Your organization’s administrators decide who joins its workspace and which tools it connects. Keep your sign-in details secure, and tell Cadex promptly at discovery@cadexhq.com if you think someone has used your account without permission. You’re responsible for activity under your account and for keeping your account information accurate.
4. Changes to the service
The service is under active development. Cadex may add, change or remove features, and the service may be unavailable at times, including for maintenance.
5. Your data
As between your organization and Cadex, your organization owns the content it connects, uploads or creates in the service (“your data”). You give Cadex a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display your data as needed to provide, secure and support the service. Your data is handled as the Privacy Policy describes and isn’t used to train AI models.
You’re responsible for your data and for having the rights, permissions, notices and consents it needs, including for information about other people.
Cadex may use information about how the service is used and how it performs, such as which features people use and error reports, to operate and improve the service, in line with the Privacy Policy.
6. Connected services
The service works with products from other companies, such as Meta, Google, Microsoft, Slack, ClickUp, Notion and GoHighLevel. When you connect one, you authorize Cadex to access it within the permissions you grant, as the Privacy Policy describes.
Each product’s own terms apply to your use of it, and you agree to follow them, including Meta’s terms and policies when you connect Meta Ads. Connect only accounts you’re authorized to connect.
The companies behind these products can change or withdraw their products and APIs, which can affect the parts of the service that rely on them. Cadex isn’t responsible for those products. You can disconnect a product whenever you choose.
Naming these products doesn’t mean their makers endorse Cadex, and their names and marks belong to their owners.
7. AI output
The service uses AI to answer questions and to run agents that can take actions in connected tools. AI output can be wrong or incomplete, even when it cites sources. Check it before you rely on it, especially for financial, legal, medical or employment decisions. It isn’t professional advice.
Your organization decides which actions its agents may take and is responsible for those actions. As between you and Cadex, you own the output the service produces for you, to the extent Cadex has any rights in it.
8. Acceptable use
You may not, and may not help anyone else to:
- break the law or violate anyone’s rights;
- connect or upload data you have no right to use;
- get around permissions, usage limits or security measures, or access another organization’s data;
- probe, scan or test the service for vulnerabilities, or put an unreasonable load on it, without Cadex’s written permission;
- copy, modify, reverse engineer, resell or sublicense the service, or use it to build a competing product;
- send spam or upload malware;
- use data from a connected product in a way that product’s terms don’t allow;
- use data from Meta received through the service to discriminate against anyone or to decide anyone’s eligibility for credit, employment, housing or insurance.
Cadex may investigate suspected violations and may suspend access as described under Ending your use.
9. Fees
Any fees for the service, and their payment terms, are set out in an order form or other written agreement with Cadex, and no fees are charged without one.
10. Cadex’s property
Cadex and its licensors own the site and the service, including their software, design, names and logos. Subject to these terms, Cadex gives you a limited, non-exclusive, non-transferable, revocable right to use the service for your organization’s internal business purposes. All rights these terms don’t grant are reserved.
If you send feedback or suggestions, Cadex may use them without any obligation to you.
11. Ending your use
You can stop using the service at any time. To close your organization’s account, email discovery@cadexhq.com.
Cadex may suspend or end your access if you breach these terms, if that’s needed to protect the service, its users or others, if the law requires it, or if the service is discontinued. Cadex gives notice when it reasonably can.
When an account closes, its data is deleted as the Privacy Policy describes. The sections on your data, disclaimers, limitation of liability, indemnity and governing law continue to apply after your use ends, along with any other terms that by their nature should.
12. Disclaimers
The site and the service are provided “as is” and “as available.” To the fullest extent the law allows, Cadex disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. Cadex does not warrant that the service will be uninterrupted, secure or error-free, or that any output will be accurate or complete.
13. Limitation of liability
To the fullest extent the law allows, Cadex will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to these terms, the site or the service, even if Cadex was told such damages were possible. Cadex’s total liability for all claims related to these terms, the site or the service will not exceed the amount your organization paid Cadex for the service in the 12 months before the event that gave rise to the claim.
Some jurisdictions don’t allow certain warranty disclaimers or liability limits, so parts of this section and the one before it may not apply to you.
14. Indemnity
Your organization will defend Cadex and its officers, employees and agents against any third-party claim arising from your data, your breach of these terms, or your violation of the law or of anyone’s rights, and will pay the damages, costs and reasonable attorneys’ fees that result.
15. Governing law
Florida law governs these terms, without regard to its conflict of laws rules. Any dispute arising from these terms, the site or the service must be brought in the state or federal courts located in Broward County, Florida, and you and Cadex consent to those courts’ jurisdiction.
16. Changes to these terms
Cadex may update these terms, and the date at the top of the page shows when they last changed. Before a material change takes effect, Cadex tells organization administrators by email or in the service. If you keep using the service after a change takes effect, you accept the updated terms.
17. General
Entire agreement. These terms, the Privacy Policy and any signed agreement between your organization and Cadex make up the entire agreement about the site and the service.
Severability. If a court finds part of these terms unenforceable, the rest stays in effect.
No waiver. If Cadex doesn’t enforce a term right away, it keeps the right to enforce it later.
Assignment. You need Cadex’s written consent to transfer these terms. Cadex may transfer them as part of a merger, acquisition or sale of assets.
Force majeure. Neither party is responsible for delays or failures caused by events beyond its reasonable control. This doesn’t excuse payment obligations.
Notices. Cadex sends notices by email or in the service. Send notices to Cadex at discovery@cadexhq.com.
